We at AsedaSciences Group, defined as AsedaSciences AG and its affiliates (“AsedaSciences”, “we”, “us” or “our”), provide this privacy policy (“Privacy Policy”), which describes how we collect information, and how we use, disclose and share such information about users of our Services. Please read the following to learn more about our Privacy Policy. By using or accessing our Services in any manner, you acknowledge the practices and policies outlined in this Privacy Policy and the AsedaSciences Terms of Use and Cookie Policy. Each being incorporated into, and forming an integral part of, this Privacy Policy.   If you do not want information about you used as described in this Privacy Policy, please do not access or use our Services.

EU/UK GDPR. If you are a resident of the European Union ("EU"), United Kingdom, Lichtenstein, Norway, or Iceland, you may have additional rights under the EU General Data Protection Regulation (the "GDPR") with respect to your Personal Data as lined out in Section 14.

California. If you are a resident of California, you may have additional rights under the California Consumer Privacy Act of 2018, as amended, with respect to your Personal Data as lined out in Section 15.

Your use of our professional services rendered and our publicly available website (“AsedaSciences' Services” or “Services”) is at all times subject to the Subscription Agreement, Cookie Policy and the Terms of Use, which reference this Privacy Policy. Any terms we use in this Privacy Policy without defining them have the definitions given to them in the Subscription Agreement or Terms of Use.

1. What does this Privacy Policy cover?

This Privacy Policy covers our treatment of information, including personally identifiable information ("Personal Information" or "Personal Data") that we process in relation to your use of our Services, but not to the practices of companies we don't own or control, or people that we don't manage. We gather various types of information from our users, as explained in more detail below, and we use this information in connection with our Services, including to personalize, provide, and improve our Services, to allow you to set up a user account and profile, to contact you and allow other users to contact you, to fulfill your requests for certain products and services, and to analyze how you use our Services, including through the use of machine learning technology. In certain cases, we may also share some Personal Information with third parties, but only as described below.

We do not knowingly collect or solicit Personal Information from anyone under the age of 16. If you are under 16, please do not attempt to register for our Services or send any information about yourself to us. If we learn that we have collected Personal Information from a child under age 16, we will delete that information as quickly as possible. If you believe that a child under 16 may have provided us Personal Information, please contact us at info@asedasciences.com.

THE ASEDASCIENCES SERVICES ARE NOT INTENDED TO, AND ASEDASCIENCES DOES NOT, PROCESS PERSONAL INFORMATION FOR, OR ON THE BEHALF OF, ANY THIRD PARTY. FOR THE AVOIDANCE OF DOUBT, ASEDASCIENCES IS AN INDEPENDENT DATA “CONTROLLER” WITH RESPECT TO ANY PERSONAL INFORMATION IT COLLECTS, RETAINS, AND PROCESSES.

2. May this policy change?

We constantly try to improve our Services, so we may need to change this Privacy Policy from time to time as well, but we will alert you to changes by placing a notice on the AsedaSciences website, by sending you an email, and/or by some other means as required by applicable law. However, such communications do not abrogate or otherwise limit your responsibility to periodically review the Privacy Policy to determine whether any amendments have been made hereto. The updated Privacy Policy will be effective as of the time of posting, or such later date as may be specified in the updated Privacy Policy. If you use our Services after any changes to the Privacy Policy are effective, that means you agree to all of the changes.

3. Personal Data we may collect

We collect Personal Data about you when you provide such information directly to us, when third parties such as our business partners or service providers provide us with Personal Data about you, or when Personal Data about you is automatically collected in connection with your use of our Services.

Information you provide to us

In order to provide you with our Services, we may ask you to provide us with certain details or information. We collect the following categories of information about you:

  • Personal Information such as your first and last name, email address, phone number, academic, non-profit, industry or government affiliation, company or institution name, title/role, geographic location of your profile and profile picture/avatar. For example, we collect such information when you register for an account, provide information within your account settings, display your user profile information, or communicate with us. We collect this information to provide you with our Services, personalize our Services for you, improve and enhance our Services, market to you, and conduct research and analytics.
  • Account information, including username, password, your affiliated company/ institution name, profile picture, avatar picture, and security questions. We collect account information to maintain and secure your account with us, provide you with our Services, and personalize our Services based on your preferences and interactions. If you choose to use our Services and register an account, you are responsible for keeping your account credentials safe. We request that you do not share your username, password, or other access details with anyone else. If you believe your account has been compromised, please contact us immediately.
  • Product interaction and feedback, such as search queries within our Services, applications used within our Services, and workflows created and used. We collect product interaction and feedback to provide you with our Services, improve and enhance our Services, and conduct research and analytics.
  • Any information you choose to include in communications with us or other users of the platform and Services, for example, when sending a message, submitting information through a webform, or collaborating with other users within our Services.
  • Other information arising from you using our Services.

For job application purposes, you may provide us, or we may receive from third parties, additional forms of Personal Information, including information set forth in a resumé, curriculum vitae, cover letter, and similar documentation, including contact details, employment history, skills, or qualifications, education-level, job compensation and benefit preferences, criminal record, credit history and similar data, and information provided about or by your references, and sensitive Personal Information through background checks (e.g., financial), from publicly-available websites and sources (e.g. LinkedIn), and through and as a result of interviews we conduct with you (e.g. feedback about your application process).

You can always choose to not disclose information to us, but keep in mind some information may be needed to register with us, take advantage of some of our features, or receive our Services.

Information collected from Third Parties

Some third parties such as our service providers provide us with Personal Data about you, such as the following:

  • Account information for third-party services: If you interact with a third-party service when using our Services, such as if you use a third-party service to log-in to our Services (e.g. Google OAuth), or if you share content from our Services through a third party social media service, the third party service will send us information about you, such as information from your public profile, if the third party service and your account settings allow such sharing. The information we receive will depend on the policies and your account settings with the third-party service.
  • Contact information derived from third-party sources: We may derive contact information about you from third party sources if the third-party source and your account settings with them allow such sharing.
  • Information from recruiting partners: If you apply for a job with us, we receive information about your application through third party recruiting services and applicant tracking systems. We may also receive contact information about you from third party recruiting services.

We may also collect information about you from third parties, including:

  • Other users of our Service, for example, when another user provides us with information about you for us to invite you to our Services or collaborate with you in our Services.
  • Third-party applications, for examples when you choose to upload or transfer information (e.g., documents) either from a third-party application into our Services, or vice versa.
  • Single Sign-on Services and email service providers, if you provide your third-party account credentials to us or otherwise sign in to our Services through a third-party site or service, you understand some content and/or information in those accounts ("Third-party Account Information") may be transmitted into your account with us, and that Third-party Account Information transmitted to our Services is covered by this Privacy Policy; for example, your email address if you sign in with Google. Certain information may be required to register with us or to take advantage of some of our features. This information is used to maintain your account and login information.
  • We may also collect information about you (e.g, your education, company, title, email address) from publicly available third-party sites, and contact you based on such information.

Information collected automatically

Whenever you interact with our Services, we automatically receive and record information about your interaction with our Services (“Usage Data”) using technical means and tools. Based on our current practices we may use cookies, web beacons/clear gifs, and other similar technologies, see our Cookie Policy for more information. Usage Data may include:

  • Log data (e.g. access time, hardware and software information)
  • IP address
  • Geolocation data, location information
  • Unique device identifier(s)
  • Web browser information
  • Page view statistics
  • Browsing history, usage information
  • Device type, such as your phone, computer, or tablet
  • Date and time stamps, such as the date and time you first accessed our Services
  • Operating system
  • Page view statistics
  • Language of device
  • Cookies and other tracking technologies (e.g. web beacons, pixel tags, SDKs, etc.)
  • Other information regarding your interaction with our Services, such as when you open an email, clickstream data and ad impressions

We may use Usage Data to customize content for you that we think you might like, based on your usage patterns. We may also use it to improve our Services — for example, this data can tell us how often users use a particular feature of our Services, and we can use that knowledge to make our Services interesting to as many users as possible.

Like many websites and mobile application operators, we collect certain information through the use of "cookies," which are small text files that are saved by your browser when you access our Service. It may be possible to refuse to accept cookies by activating the appropriate setting on your smartphone or device. However, if you select this setting, some parts of the Services may become inaccessible or not function properly. In addition, we may use web beacons to help us better manage content on our Service by informing us what content is effective. Web Beacons are embedded in, or otherwise associated with, certain emails or other communications that you receive from us or our partners. Web Beacons help us track your responses and interests and deliver relevant content and services to you. For example, they may let us know when you take actions based on the emails that we send. Web Beacons also allow us to enhance our Behavioral Advertising (defined below), which is further discussed below in the section titled "Online Behavioral Advertising" below.  

4. How do we use your Personal Data?

We process Personal Data to operate, improve, understand and personalize our Services. For example, we use Personal Data to:

  • Create and manage user accounts
  • Communicate with you about the Services
  • Contact you about Service announcements, updates or offers
  • Provide support and assistance for the Services
  • Log and analyze product usage to fix bugs and improve the Services
  • Comply with our legal or contractual obligations
  • Protect against or deter fraudulent, illegal or harmful actions
  • Enforce our Terms of Service

We will only process your Personal Data if we have a lawful basis for doing so. Lawful bases for processing include consent, contractual necessity and our "legitimate interests" or the legitimate interest of others, as further described below.

  • Contractual Necessity: We process the following categories of Personal Data as a matter of "contractual necessity", meaning that we need to process the data to perform under our Terms of Service with you, which enables us to provide you with the Services. When we process data due to contractual necessity, failure to provide such Personal Data will result in your inability to use some or all portions of the Services that require such data. This includes in particular user account data (e.g., Name, Address, Email, Phone)
  • Legitimate Interest: We process the following categories of Personal Data when we believe it furthers the legitimate interest of us or third parties.
  • User account data
  • User machine data
  • Product analytics data
  • Candidate and applicant data
  • Examples of these legitimate interests include:
  • Operation and improvement of our business, products and services
  • Provision of customer support
  • Protection from fraud or security threats
  • Completion of corporate transactions
  • Recruiting and hiring
  • Consent: In some cases, we process Personal Data based on the consent you expressly grant to us at the time we collect such data. When we process Personal Data based on your consent, it will be expressly indicated to you at the point and time of collection. For example, we'll obtain your consent before using certain Tracking Tools to collect and process your Personal Data for behavioral advertising purposes as described herein.
  • Other Processing Grounds: From time to time we may also need to process Personal Data to comply with a legal obligation, if it is necessary to protect the vital interests of you or other data subjects, or if it is necessary for a task carried out in the public interest.

5. Does AsedaSciences share Personal Information?

We share Personal Data with vendors, third-party service providers and agents who work on our behalf and provide us with services related to the purposes described in this Privacy Policy or our Terms of Service. These parties include:

  • Cloud hosting services
  • Analytics services
  • Ad networks (please refer to the section below titled "Online Behavioral Advertising")
  • Email marketing services
  • Customer relationship management services
  • Applicant tracking services
  • Customer support services

We also share Personal Data when necessary to complete a transaction initiated or authorized by you or provide you with a product or service you have requested. In addition to those set forth above, these parties also include:

  • Other users (where you post information publicly or as otherwise necessary to effect a transaction initiated or authorized by you through the Services)
  • Other parties authorized by you
  • We also share Personal Data when we believe it is necessary to:
  • Comply with applicable law or respond to valid legal process, including from law enforcement or other government agencies
  • Protect us, our business or our users, for example to enforce our terms of service, prevent spam or other unwanted communications and investigate or protect against fraud
  • Maintain the security of our products and services

We also share information with third parties when you give us consent to do so.

Furthermore, if we choose to buy or sell assets, user information is typically one of the transferred business assets. Moreover, if we, or substantially all of our assets, were acquired, or if we go out of business or enter bankruptcy, user information would be one of the assets that is transferred or acquired by a third party, and we would share Personal Data with the party that is acquiring our assets. You acknowledge that such transfers may occur, and that any acquirer of us or our assets may continue to use your Personal Information as set forth in this policy.

Online Behavioral Advertising: Some of our advertising ("Behavioral Advertising") involves using Tracking Tools to collect information about a user's online activities over time and across non-affiliated websites and applications and providing ads to the user based on the user's interests (as inferred from the user's online activity) or use of our Service. For more information, see our Cookie Policy).  

Further, we may share Personal Information about you as set forth below:

Information That's Been De-Identified and/or Aggregated

We may de-identify Personal Information about you so that you are not identified as an individual, and provide that information to our partners. We may also provide aggregate Usage Data to our partners (or allow partners to collect such information from you), who may use such information to understand how often and in what ways people use our Services, so that they, too, can provide you with an optimal online experience.

Other Users of our Services

Certain user profile information, including your name, location, and any video, or image or that such user has uploaded to our Services, may be displayed to other users to facilitate user interaction within our Services or address your request for our Services. Please remember that any content you upload to your public user profile, along with any Personal Information or content that you voluntarily disclose online in a manner other users can view (on discussion boards, in messages and chat areas, etc.) becomes publicly available, and can be collected and used by anyone.

Business Transfers

We may choose to buy or sell assets, and may share and/or transfer information in connection with the evaluation of and entry into such transactions. Also, if we (or our assets) are acquired, or if we go out of business, enter bankruptcy, or go through some other change of control, such information could be one of the assets transferred to or acquired by a third-party.

Protection of AsedaSciences and Others

We reserve the right to access, read, preserve, and disclose any information that we reasonably believe is necessary to comply with law or court order; enforce or apply our Terms of Service and other agreements; or protect the rights, property, or safety of AsedaSciences, our employees, our users, or others.

6. Publicly Posted Information; Reviews and Feedback

The Services may provide you with the ability to submit a comment on, provide an opinion about, rate, or otherwise discuss our Services (a “Review”) or provide other information related to our business (“Feedback”), which may be posted to publicly available portion of our website or other websites. Any information or content you post in a Review or in your Feedback may be available to others via our website and social media platforms and may be retrievable by third-party search engines, and third parties may also be able to download or share your Review and Feedback to social media websites or elsewhere. We recommend that you guard your privacy and anonymity and not upload any information in your Review and Feedback that you wish to remain confidential. Any third party with access to your information via the Services will be permitted to use the information in the same manner as if you submitted the information directly to that third party. Publicly posting any information on our website is entirely voluntary on your part and we recommend you carefully consider the information you choose to make publicly available.

7. Do Not Track Signals

Your browser may offer you a "Do Not Track" option, which allows you to signal to operators of websites and web applications and services (including behavioral advertising services) that you do not wish such operators to track certain of your online activities over time and across different websites. Please note that we don't control whether or how these third parties comply with “Do Not Track” requests. 8. Social Features

Certain features of our Services may permit you to initiate interactions between our Services and third-party services or platforms, such as social networks (“Social Features”). Social Features include features that allow you to click and access the Company’s pages on certain third-party platforms, such as Facebook and Twitter, and from there to “like” or “share” our content on those platforms. Use of Social Features may entail a third-party’s collection and/or use of your information. If you use Social Features or similar third-party services, information you post or otherwise make accessible may be publicly displayed by the third-party service you are using. Both the Company and the third-party may have access to information about you and your use of both our Services and the third-party service. For more information on third-party websites, services, and platforms, see Section 8 below.

9. Third-party Websites and Links; Video Teleconferencing

Our Services may contain links to other online platforms operated by third parties. We do not control such other online platforms and are not responsible for their content, their privacy policies, or their use of your information. Information you provide on public or semi-public venues, including information you share on third-party social networking platforms (such as LinkedIn, Facebook or Twitter) may also be viewable by other users of our Services and/or users of those third-party online platforms without limitation as to its use by us or by a third-party. Our inclusion of such links does not, by itself, imply any endorsement of the content on such platforms or of their owners or operators except as disclosed on our Services. We expressly disclaim any and all liability for the actions of third parties, including but without limitation to actions relating to the use and/or disclosure of personal information by third parties. Any information submitted by you directly to these third parties is subject to that third-party’s privacy policy.

We host and uses video teleconferencing platforms to facilitate conferences, meetings, training events, and other programs. We often use online platforms that are owned and administered by a third-party service provider (e.g., Google, Zoom, WebEx, Skype for Business). Please be aware that our video teleconferencing may record the content, conversations, and discussions thereon, and such records may be stored or retained by our third-party service providers. By participating in our events and video teleconferencing, you hereby consent to the collection and retention of any information provided therein, and you hereby consent to the recording of such activities.

10. Security Measures

Your account is protected by a password for your privacy and security. If you access your account via a third-party site or service, you may have additional or different sign-on protections via that third-party site or service. As noted above, you must prevent unauthorized access to your account and Personal Information, for example, by selecting and protecting your password and/or other sign-on mechanism appropriately and limiting access to your computer or device and browser by signing off after you have finished accessing your account.

We strive to protect the privacy of your account and other Personal Information we hold in our records, but unfortunately, we cannot guarantee complete security. Unauthorized entry or use, hardware or software failure, and other factors, may compromise the security of user information at any time. 

WE ARE NOT RESPONSIBLE FOR THE SECURITY OF PERSONAL INFORMATION YOU TRANSMIT TO THE SERVICES OVER NETWORKS THAT WE DO NOT CONTROL, INCLUDING THE INTERNET AND WIRELESS NETWORKS, AND YOU PROVIDE US WITH ANY PERSONAL INFORMATION AND DATA AT YOUR OWN RISK. TO THE EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE OR OTHERWISE RESPONSIBLE FOR ANY DATA INCIDENT OR EVENT THAT MAY COMPROMISE THE CONFIDENTIALITY, INTEGRITY, OR SECURITY OF YOUR PERSONAL INFORMATION CAUSED BY A THIRD PARTY. In the event we are required to notify you with respect to a data security incident or compromise involving your Personal Information, you hereby agree we may contact you via E-Mail to address the same.

We seek to protect Personal Data using appropriate technical and organizational measures based on the type of Personal Data and applicable processing activity. All supplied sensitive information is transferred via Transport Layer Security (TLS) technology and stored encrypted at rest using AES-256 encryption.

AsedaSciences is hosted on Amazon Web Services (AWS). AWS undergoes various third-party independent audits on a regular basis, covering compliance controls for its data centers, infrastructure, and operations. This includes SOC 2 certification and ISO 27001 certification. According to the AWS Security Whitepaper: "AWS data centers are housed in nondescript facilities. Physical access is strictly controlled both at the perimeter and at building ingress points by professional security staff utilizing video surveillance, intrusion detection systems, and other electronic means. Authorized staff must pass two-factor authentication a minimum of two times to access data center floors. All visitors and contractors are required to present identification and are signed in and continually escorted by authorized staff."

Access to AsedaSciences production systems is limited to designated AsedaSciences engineering team members behind a two-factor authenticated virtual private network. AsedaSciences undergoes penetration testing conducted by an independent, third-party agency, on an annual basis.

Your Responsibilities: You are permitted, and hereby agree, to only provide personal information to us if such personal information is accurate, reliable, and relevant to our relationship and only to the extent such disclosure will not violate any applicable data protection law, statute, or regulation or infringe upon a person’s data privacy rights or privileges. 

IF YOU PROVIDE PERSONAL INFORMATION (INCLUDING PERSONAL INFORMATION CONCERNING A THIRD PARTY) TO US, YOU EXPRESSLY REPRESENT AND WARRANT TO US THAT YOU HAVE THE FULL RIGHT AND AUTHORITY TO PROVIDE US WITH SUCH PERSONAL INFORMATION (INCLUDING PERSONAL INFORMATION CONCERNING A THIRD PARTY) AND THAT OUR USE AND PROCESSING OF SUCH PERSONAL INFORMATION AS SET FORTH HEREIN WILL NOT VIOLATE ANY PERSON’S RIGHTS OR PRIVILEGES, INCLUDING RIGHTS TO PRIVACY. YOU HEREBY AGREE TO FULLY AND COMPLETELY INDEMNIFY US FOR ANY CLAIMS, HARM, OR DAMAGES THAT MAY ARISE FROM YOUR PROVISION OF PERSONAL INFORMATION.

11. What Personal Information can I access?

Through your account settings, you may access, and, in some cases, edit or delete the following information you've provided to us:

  • Name and password
  • Email address
  • Location
  • Company / institution / lab
  • Website URL
  • Avatar image or profile picture

12. Data Retention

We retain Personal Data about you for as long as you have an open account with us or for 12 months after you close your account. In some cases we retain Personal Data for longer, if doing so is necessary to comply with our legal obligations, resolve disputes or collect fees owed, or is otherwise permitted or required by applicable law, rule or regulation. Afterwards, we retain some information in a depersonalized or aggregated form but not in a way that would identify you personally.

13. Transfers of Personal Data

AsedaSciences is operating mainly in Switzerland and the United States and works with a limited number of service providers in these as well as other jurisdictions (including the European Union and the United Kingdom). AsedaSciences’ Services are hosted by AWS and operated in Switzerland and the United States ("U.S.") through AsedaSciences and its service providers, and if you do not reside in the U.S., laws in the U.S. may differ from the laws where you reside. By using the Services, you acknowledge that any Personal Data about you, regardless of whether provided by you or obtained from a third party, is being provided to AsedaSciences in Switzerland and the U.S. and may be hosted on U.S. servers, and you authorize AsedaSciences to transfer, store and process your information to and in the U.S., and possibly other countries. 

14. EU or UK Privacy Rights

If you are a resident of the European Union ("EU"), United Kingdom, Lichtenstein, Norway, or Iceland, you may have additional rights under the EU General Data Protection Regulation (the "GDPR") with respect to your Personal Data, as outlined below.

For this Privacy Policy, we use the terms "Personal Data" and "processing" as they are defined in the GDPR, but "Personal Data" generally means information that can be used to individually identify a person, and "processing" generally covers actions that can be performed in connection with data such as collection, use, storage and disclosure. AsedaSciences will be the controller of your Personal Data processed in connection with the Services.

Note that we may also process Personal Data of our customers' end users or employees in connection with our provision of services to customers, in which case we are the processor of Personal Data. If we are the processor of your Personal Data (i.e., not the controller), please contact the controller party in the first instance to address your rights with respect to such data.

What Rights Do You Have Regarding Your Personal Data?

You have certain rights with respect to your Personal Data, including those set forth below. For more information about these rights, or to submit a request, please email info@asedasciences.com. Please note that in some circumstances, we may not be able to fully comply with your request, such as if it is frivolous or extremely impractical, if it jeopardizes the rights of others, or if it is not required by law, but in those circumstances, we will still respond to notify you of such a decision. In some cases, we may also need to you to provide us with additional information, which may include Personal Data, if necessary to verify your identity and the nature of your request.

  • Access: You can request more information about the Personal Data we hold about you and request a copy of such Personal Data. You can also access certain types of your Personal Data by emailing info@asedasciences.com.
  • Rectification: If you believe that any Personal Data we are holding about you is incorrect or incomplete, you can request that we correct or supplement such data. You can also correct some of this information directly by updating your AsedaSciences profile. You can correct some of this information directly by emailing info@asedasciences.com.
  • Erasure: You can request that we erase some or all of your Personal Data from our systems.
  • Withdrawal of Consent: If we are processing your Personal Data based on your consent (as indicated at the time of collection of such data), you have the right to withdraw your consent at any time. Please note, however, that if you exercise this right, you may have to then provide express consent on a case-by-case basis for the use or disclosure of certain of your Personal Data, if such use or disclosure is necessary to enable you to utilize some or all of our Services.
  • Portability: You can ask for a copy of your Personal Data in a machine-readable format. You can also request that we transmit the data to another controller where technically feasible.
  • Objection: You can contact us to let us know that you object to the further use or disclosure of your Personal Data for certain purposes, such as for direct marketing purposes.

Opt-Out Rights / Do Not Sell My Personal Information. California residents have the right to opt-out of the sale of their personal information. We do not sell your personal information to third parties for profit or other monetary or valuable consideration.
